1. Platform Services & AI Voice Employees
Marketingko provides autonomous AI voice agent software and enterprise telephony routing (“Services”) designed to automate inbound reception, outbound lead qualification, and calendar scheduling. By utilizing the Services, you agree to abide by these Terms and all applicable telecommunications regulations (including TRAI TCCCPR regulations and Department of Telecommunications directives in India).
2. Do-Not-Call (DNC) Registry & Calling Hours Compliance
You represent and warrant that all contact records imported into Sancharya for automated calling have been lawfully obtained with affirmative consent. You agree strictly not to initiate automated outbound calls to telephone numbers registered on national or regional Do-Not-Call (NDNC) registries without verified opt-in. All promotional calls must strictly adhere to the permitted 10:00 AM to 07:00 PM IST calling windows.
3. Telephony Rates & Lifetime Credits Wallet
Telephony compute and AI reasoning minutes are billed at ₹6.00 per connected call minute (or custom negotiated enterprise tier), deducted from your pre-funded Lifetime Credits wallet (where 1 Credit = ₹1 INR). Purchased credits carry lifetime validity and do not expire. Carrier rental fees for provisioned virtual phone numbers are billed monthly on a pre-paid basis.
4. Telephony Audio & Two-Party Consent
Audio streams transmitted via LiveKit WebRTC and SIP trunks are encrypted in transit with DTLS-SRTP. If call recording is enabled, you are solely responsible for ensuring that two-party call recording disclosures are provided to call recipients where legally mandated.
5. Data Protection Clause (DPDP Act, 2023 - India)
5.1 Roles of the Parties: In respect of personal data processed through the platform, the parties acknowledge that the Customer acts as the Data Fiduciary (Section 2(i), DPDP Act, 2023) and Sancharya operates strictly as a Data Processor (Section 2(k), DPDP Act, 2023) acting solely under the valid instructions of the Customer.
5.2 Lawful Consent & Warranties: The Customer represents, warrants, and covenants that all personal data (including prospect names, phone numbers, and voice communications) provided to Sancharya has been collected pursuant to free, specific, informed, unconditional, and unambiguous consent under Section 6 of the DPDP Act 2023, accompanied by an appropriate statutory privacy notice under Section 5.
5.3 Purpose Limitation & Non-Training Covenant: Sancharya shall process personal data solely for the limited purpose of providing the agreed AI voice telephony and CRM automation services. Sancharya shall NOT use Customer proprietary conversations, customer audio waveforms, or lead records to train public frontier models.
5.4 Technical & Organizational Safeguards: In accordance with Section 8(5) of the DPDP Act, Sancharya shall implement reasonable security safeguards, including end-to-end transport layer encryption (TLS 1.3), WebRTC DTLS-SRTP audio security, AES-256 database storage encryption, role-based access controls, and continuous audit logging to prevent personal data breaches.
5.5 Breach Notification: In the event of a confirmed personal data breach affecting Customer data, Sancharya shall notify the Customer and provide necessary telemetry without undue delay to enable the Customer to fulfill its mandatory intimation obligations to the Data Protection Board of India (DPBI) and affected Data Principals under Section 8(6) of the DPDP Act.
5.6 Indemnity for Unlawful Contact Lists: Customer agrees to defend, indemnify, and hold harmless Marketingko, its founder, officers, and affiliates from any regulatory penalties, claims, damages, or fines levied by the Data Protection Board of India or telecom authorities arising out of Customer's failure to obtain verifiable opt-in consent from dialed contacts.
6. Grievance Redressal & Governing Law
These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the Republic of India. The courts of Warangal, Telangana, India shall have exclusive jurisdiction.
